    You need to convert it to an editable mesh before you export, but I could be horribly wrong ;p

    I would recommend just looking around for 3ds 8. I have 2008 also and v9 and i could never get ghost's exporter to work correctly. I always ended up exporting it and importing it into v8 so i could export using the bungie .ass exporter.

    You can keep it 3ds max 2008. You just need to make sure that its editable MESH. This solves a lot of errors. Like the "could not get polycount" thing. You can mess with the model but when your done you MUST make sure that it is a editable MESH when your done.
